1. Definitions and Key Terms

To help explain things as clearly as possible in these Terms of Service, every time any of these terms are referenced, they are strictly defined as:

• Company: When this policy mentions "Company," "we," "us," or "our," it refers to Techne, based in Istanbul, Türkiye, responsible for your information under these Terms.
• Customer / User: Refers to any business entity, organization, or individual accessing the Site or engaging Techne for creative agency, web development, and digital marketing services.
• Device: Any internet-connected device such as a computer, mobile phone, or tablet used to visit or interact with the Site.
• Services: Refers to the full scope of digital agency offerings provided by Techne, including strategic consulting, UI/UX engineering, software development, Performance Max (PMax) campaign management, and digital advertising setup.
• Third-Party Service: Refers to advertisers, data platforms, analytics suites, or infrastructure software integrated into our operations (including HubSpot, Google Analytics, Meta Pixel, and Google Tag Manager).

2. Acceptance of Terms

By accessing www.itstechne.com, filling out inquiry forms, or utilizing any of Techne's digital agency services, you confirm that you have read, understood, and agreed to be legally bound by these Terms of Service and our Privacy Policy. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree, you must immediately discontinue use of the Site.

3. Agency Services & Client Agreements

Scope of Operations: Techne operates as a digital agency offering digital campaign execution, software engineering, marketing funnel optimization, and brand consulting.

Master Service Agreements (MSA) & SOWs: Specific deliverables, technical timelines, payment schedules, and campaign budgets for client engagements are governed by separate Statements of Work (SOW) or Client Contracts executed directly between Techne and the client. In the event of any conflict between these Site Terms and a signed client contract, the signed contract shall prevail.

4. Intellectual Property Rights

Ownership of Site Content: All source code, design systems, visual mockups, copy, brand trademarks, logos, databases, and website architectures on the Site are the exclusive intellectual property of Techne and are protected by applicable trademark, copyright, and trade secret laws in Türkiye and internationally.

Limited License: You are granted a limited, non-transferable, revocable license to access and view the Site strictly for evaluating Techne's commercial services.

Prohibited IP Use: You shall not copy, extract, scrape, frame, reverse engineer, decompile, or create derivative works from any part of the Site without prior written consent from Techne.

5. Prohibited Activities

You may not access or use the Site for any purpose other than that for which Techne makes it available. As a user of the Site, you agree not to:

• Systematically retrieve data, form layouts, or visual assets from the Site to create a collection, database, or directory.
• Circumvent, disable, or interfere with security-related features of the Site or underlying hosting infrastructure.
• Submit false, fraudulent, or impersonated details through our contact and inquiry forms.
• Use automated scripts, spiders, scrapers, or bots to harvest data from the Site.
• Attempt to bypass authentication or gain unauthorized access to Techne's server environments or associated databases.

6. Disclaimer of Warranties & Limitation of Liability

Warranty Disclaimer: The Site and all content are provided on an "AS-IS" and "AS-AVAILABLE" basis. Techne makes no representations or warranties of any kind, express or implied, regarding the operation or availability of the Site.

Limitation of Liability: To the maximum extent permitted by applicable law, Techne, its officers, employees, or partners shall not be liable for any indirect, incidental, consequential, or punitive damages (including loss of revenue, business data, or operational downtime) arising out of your access to or inability to use the Site.

7. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Türkiye. Any legal dispute, claim, or proceeding arising out of or in connection with these Terms or use of the Site shall be submitted to the exclusive jurisdiction of the competent courts and execution offices in Istanbul, Türkiye.

8. Amendments

Techne reserves the right to modify these Terms at any time. Changes will take effect immediately upon posting to the Site. Your continued use of the Site following any updates signifies your acceptance of the revised Terms.
